A BRIEF HISTORY OF DECISION SCIENCES

The U.S. Department of Energy’s Los Alamos National Laboratory (LANL) was developing proton radiography techniques for a variety of applications and discovered the use of Cosmic Ray Tomography for material discrimination. Decision Sciences received a perpetual, worldwide and exclusive license to the Intellectual Property (IP) from LANL and developed Discovery® - A Multi-Mode Passive Detection System - to produce 3D visualizations of materials without the use of ionizing radiation for the first time in history.

This disruptive passive scanning technology was first commercially applied at the Hutchinson Port Holdings Terminal at the Freeport Container Port in Freeport, Bahamas for the Nuclear and Radiological Imaging Program of the U.S. Department of Homeland Security. Since its installation, it has analyzed many thousands of shipping containers. This program was ended when the Bahamas was heavily damaged during a Hurricane.

Decision Sciences was awarded a contract by Toshiba Corporation Power System, Isogo Nuclear Engineering Center, to deliver a non-standard configuration of Discovery® to safely image the cores of the nuclear reactors at the Fukushima Daiichi Nuclear Power Plant that were disabled during the March 2011 nuclear disaster.

Decision Sciences has taken this technology from the lab to the marketplace with deployments of Discovery® around the globe for the world's maritime ports, land border crossings, and defense and critical infrastructure industries. Dwight Johnson

President & Chief Executive Officer

Dwight Johnson is president and chief executive officer of Decision Sciences. He brings decades of leadership experience from a variety of transportation sectors including shipping, railroad and ports, as well as having also worked in the energy, consumer products and medical technology markets.

Prior to joining Decision Sciences, Mr. Johnson served as president and CEO of ITS Technologies & Logistics, overseeing the largest intermodal terminal management company in North America with 3,000 employees. Under his leadership, the company handled more than seven million containers annually. He previously served as president of OmniTRAX, the largest private operator of shoreline and regional railways in North America.

Mr. Johnson received his MBA from Indiana University and his Bachelor’s degree from the University of Denver.

Mike Goll

Vice President & Chief Financial Officer

Mike Goll is Vice President and Chief Financial Officer of Decision Sciences. He is responsible for finance, accounting, supply chain, procurement, contracts, information technology, human resources, and investor relations.

Previously, Mr. Goll served as Finance Director for Era Systems Corporation, an international aviation product company headquartered in the Czech Republic. There, he oversaw global expansion into 30 countries with annual revenues of $30 million. Prior to that, he worked for Price Waterhouse Coopers.

Mr. Goll received his Master’s degree in Accounting from James Madison University and his Bachelor’s degree in Business Administration from James Madison University. He is a certified public accountant.

Patrick Simmons

Senior Vice President, Government Relations

Patrick Simmons is senior vice president of government relations for Decision Sciences. His career has encompassed the development and execution of programs focused on global security and safety.

Prior to joining Decision Sciences, he lived in the United Arab Emirates where he served as a technology advisor to Abu Dhabi Customs, leveraging his expertise in non-intrusive inspection and radiation detection. Mr. Simmons previously worked for the U.S. Customs and Border Protection (CBP) for 25 years where he held many roles, including director of their non-intrusive inspection and radiation detection office in Washington D.C. While in this role, Mr. Simmons oversaw CBP’s entire inventory of detection systems which included over 300 mid to large-scale mobile and stationary systems. Mr. Simmons also managed the successful deployment of 1200 Radiation Portal Monitors at our Nation’s borders and critical infrastructure locations.

Steven Conner

Global Vice President of Operations

Steven Conner is the Global Vice President Operations at Decision Sciences . He is a seasoned leader who has over 25 years of experiences in Operations Management, S&M, strategic and tactical planning, Global program/project/contract management and start-up within Telecom, Data-comm, software development, high tech product design and manufacturing environments.

Steven brings experience across several industries, including security and cargo scanning contraband detection, telecommunication, data center, and enterprise software development.

Steven’s experience spans U.S, Europe, and the Middle East. His background includes roles such as: Director of Supply Chain, Sr. Program Manager, CEO, President, VP of Holding Company, GM and Product Manager.

Steven has previously held rolls as CEO at Sigma Squared Decisions, and President of e-Systems group managing full P&L and over 100 employees. His key accomplishments were improving profitability, completing two acquisitions and consolidating two manufacturing operation.

Anthony Crego

Vice President of Product Development

Anthony Crego (Tony) is the Vice President of Product Development for Decision Sciences. He has been with Decision Sciences for more than 5 years and has also served as the Technical Product Manager and the Director of Business Development.

Tony retired from the Navy in 2012 after 20 years of service. He served as an officer aboard three submarines, and notable shore assignments included Joint Staff (J-5) Combating Weapons of Mass Destruction Policy staff officer, Anti-submarine warfare requirements officer at Fleet Forces Command (N-8), and Nuclear Engineer for Naval Reactors. Between his Navy retirement and working for Decision Sciences, he was an independent consultant for 15 radiological and nuclear detection companies where he provided business development and proposal management support. Tony’s technical acumen and business experience allow him to effectively bridge the gap between these two disciplines.

Tony received a B.S. in Physics from Georgia Tech, an M.E.A. in Industrial Systems Engineering from Virginia Tech, and an M.S. in National Security Strategy from the National War College.

James Miller

Director of Engineering

James Miller brings a history of successful product development from a diverse background, across a variety of industries. In 1998, James led the development of ETC’s Unison, an architectural lighting product now in its 22nd year of production. During his 15 years at Science Applications International Corporation (SAIC) James contributed to a variety of programs both classified and unclassified, including SAIC’s, Vehicle and Cargo Inspection System (VACIS) and RTR-4 products.

More recently, James served as VP of Engineering for Quake Global, Inc., leading the development and vision of asset tracking solutions for OEMs in the heavy equipment industry as well as passive RFID solutions in the healthcare industry. Currently, James serves as the Director of Engineering at DSIC bringing his product development and engineering expertise to DSIC’s revolutionary Discovery™ product.

James Miller holds a degree in Electrical and Computer Engineering from the University of Wisconsin-Madison, go Badgers!

Sean Simon

Director of Physics & Data Science

Sean Simon is the Director of Physics and Data Science at Decision Sciences. Prior to joining the physics team at Decision Sciences in 2012, he participated in the search for the Higgs boson using the Compact Muon Solenoid detector at CERN’s Large Hadron Collider. He holds a master’s degree in physics, as well as bachelor’s degrees in Physics and Mathematics from UC San Diego.

Stuart J. Rabin

Chairman of the Board (Non-Executive)

Stuart J. Rabin is the President and CEO of Nine Thirty Capital, a diversified investment firm that he launched in 2004. Based in New York, Nine Thirty Capital is a flexible platform that invests in private companies as well as public securities and manages customized investment portfolios for prominent families from around the world.

From 1997 through 2008 Mr. Rabin was the President and CEO of JFI, a diversified family investment company that he co-founded. At JFI he constructed and actively managed a series of sizeable bespoke portfolios that included numerous hedge funds, an internal equity trading vehicle, direct private company investments and real estate partnerships.

Previously Mr. Rabin was employed by a New York based hedge fund, by Morgan Stanley Asset Management, and by Bear Stearns & Co. Earlier in his career, Mr. Rabin practiced law with the New York firm of Skadden, Arps, Slate, Meagher & Flom and with the Washington, D.C. firm of Verner, Liipfert, Bernard, McPherson & Hand (now DLA Piper).

Mr. Rabin is the Chairman of the Board of Directors of Decision Sciences International Corporation (www.DecisionSciencesCorp.com), an advanced technology company focused on the interdiction of contraband and the critical mission of preventing nuclear terrorism and proliferation. Decision Sciences’ revolutionary and disruptive technology – originally developed in close cooperation with the renowned Los Alamos National Laboratory – can dramatically improve the safety and security of the global community, help to save countless lives, and prevent the economic, psychological and civil liberties devastation likely to result from even a single act of nuclear terrorism.

Mr. Rabin is also a member of the Board of Directors of 924 Global Asset Finance Corporation and Chairman of the Board of Managers of Decision Sciences Medical Company, an affiliate of Decision Sciences focused on bringing to market an advanced medical imaging technology for the early, non-invasive detection of cancer and other serious medical conditions.

Nine Thirty Capital’s significant commitment to, and Mr. Rabin’s active involvement in, the business of Decision Sciences and its affiliates is illustrative of his belief that a flexible investment platform can be a model of progressive capitalism. Mr. Rabin devotes substantial time and attention to charitable and civic causes, including nonprofit organizations involved in education, promoting active citizenship and illuminating Constitutional ideals, healthcare, and international affairs. Mr. Rabin is a member of the Board of Trustees of the National Constitution Center in Philadelphia, and is a member of the Council on Foreign Relations, the Wharton Global Family Alliance of the Wharton School of the University of Pennsylvania, and the International Council of the Belfer Center for Science and International Affairs at the John F. Kennedy School of Government at Harvard University.

Mr. Rabin graduated with honors from Georgetown University and from the Georgetown University Law Center. He received his MBA from the Wharton School of the University of Pennsylvania.

Pasquale “Pat” D’Amuro

Pat D’Amuro is Chairman and Chief Executive Officer of Global Risk & Investigative Diligence, LLC. He is the former Chairman and CEO of Giuliani Security & Safety LLC, a division of Giuliani Partners LLC dedicated to security consulting. Previously, Mr. D’Amuro served as the Assistant Director in Charge of the New York FBI Office, where he began his FBI career in 1979. Much of Mr. D’Amuro’s twenty six year career has been devoted to counterterrorism, in which he is an internationally recognized expert.

After the terrorist attacks of September 11, 2001, Mr. D’Amuro was appointed Inspector in Charge of the FBI’s investigation of those attacks. Subsequently, Mr. D’Amuro served as Assistant Director of the Counterterrorism Division at FBI Headquarters and, later, Executive Assistant Director for Counterterrorism and Counterintelligence. In these capacities, he was instrumental in the creation and management of the FBI’s Terrorism Threat Integration Center and Terrorism Watch List.

During his distinguished career at the FBI, Mr. D’Amuro contributed to or led several high profile investigations, including the investigations of the 1998 bombings of the American Embassies in East Africa and the 2000 attack on the USS Cole in Yemen, as well as the latter stages of the investigations of the 1993 World Trade Center bombing, the Manila Air plot, and the crash of TWA Flight 800. Mr. D’Amuro has provided advice and briefings to the President of the United States, the U.S. Attorney General, the Director of the FBI, and the National Security Council, among others. Mr. D’Amuro also serves as Chair of Decision Sciences’ Board of Advisors.

Robert Fishman

Board Member

Robert Fishman is CEO of NAES Corporation. Prior to joining NAES, Dr. Fishman served as Chief Operating Officer at General Atomics; Chief Executive Officer at AUSRA (AREVA Solar); Executive Vice President of Operations, Engineering and Development at Calpine; and President of PB Power at Parsons Brinckerhoff. While a naval officer, his ashore assignments included the Immediate Office of The Secretary of Defense and Office of the Chief of Naval Operations. He has previously served on the boards of several public and private companies in the energy, industrial, and technology sectors.

A former shipboard chief engineer in the U.S. Navy, Fishman holds a Ph.D. in Mechanical Engineering from the University of Maryland, an M.S. in Mechanical Engineering and Degree of Mechanical Engineer from the Massachusetts Institute of Technology, and a B.S. (with distinction) in Mechanical Engineering from the U.S. Naval Academy. He is registered as a Professional Engineer in six states.

Dr. Fishman volunteers as a docent at the Museum of Flight in Seattle and as a volunteer pilot for Angel Flight.

Gwenne Henricks

Board Member

Ms. Henricks is past Vice President, Product Development & Global Technology, and Chief Technology Officer of Caterpillar Inc., a world leading manufacturer of construction and mining equipment, diesel and natural gas engines, industrial gas turbines and diesel-electric locomotives. Prior to that, she served as Vice President, Industrial Engines Division, and as Vice President of Caterpillar’s Electronics and Connected Worksite Division. She joined Caterpillar in 1981 in an engineering role and held numerous engineering, product management and executive roles of increasing scope and complexity. Ms. Henricks serves as a Board member of Polaris Industries, on the Audit and Technology Committees, and on the Bradley University Engineering Advisory Committee.

Ms. Henricks earned a B.A. Physics and an M.S. Electrical Engineering at Bradley University. She also holds an MBA from the University of Illinois.

Art Collins

Board Member

Art Collins retired from Medtronic in 2008. He assumed the role of Chief Executive Officer of Medtronic, Inc. in 2001 and became Chairman of the Board the next year. He previously had been elected Chief Operating Officer and member of the Board of Directors in 1994 and President in 1996. He joined the company in 1992 as Corporate Executive Vice President and President of Medtronic International with responsibility for all Medtronic operations outside the United States. During his tenure as CEO and COO, Medtronic’s revenues and earnings per share both grew at an annual compound growth rate in excess of 15 percent.

Medtronic is the largest medical technology company in the world with annual revenues of over
$30 billion. Conducting business in more than 150 countries, Medtronic’s employment currently exceeds 90,000. Institutional Investor repeatedly selected Mr. Collins as the best CEO in the Medical Supplies and Devices sector. In addition to having one of the most impressive records of superior financial performance during his tenure, Medtronic was continually cited as one of the most admired companies in the industry and was singled out for its strong corporate governance and commitment to philanthropy and community involvement. It is interesting to note that the most important statistic tracked within the company is not found on the balance sheet or the income statement—it is that about every second, someone somewhere in the world receives a Medtronic product that either significantly improves or saves their life.

Mr. Collins joined Medtronic from Abbott Laboratories where he had been Corporate Vice President with responsibility for Abbott’s worldwide diagnostic business units since 1986. He commenced his 14-year career with Abbott in 1978 as Manager of Corporate Planning and Development and moved to the Diagnostics Division a year later where he subsequently held a number of general management positions in the United States and Europe. He was elected a corporate officer in 1989.

Before joining Abbott, Mr. Collins served as an officer in the United States Navy from 1969 to 1973. After completing Officers Candidate School as a Distinguished Naval Graduate, he served as a line officer and was honorably discharged with the rank of Full Lieutenant. From 1974 to 1978, Mr. Collins was a consultant with Booz, Allen & Hamilton in Chicago. As a consultant, he conducted major assignments in the areas of business strategy development, marketing, organization planning, financial analysis, and financial systems design.

Mr. Collins amassed over 80 years of corporate board experience while serving as a director of Alcoa, Arconic, Boeing, Cargill, Medtronic, Tennant, and US Bancorp. While on those boards, he held numerous leadership roles including lead director and chair of governance and nominating, compensation, and finance committees. He also was a member of the Board of Overseers of the Wharton School at the University of Pennsylvania and the Board of Visitors for the Farmer School of Business at Miami University. In addition to serving as previous Chairman of AdvaMed, the medical technology industry association, he has been on the boards of numerous governmental and civic organizations including the President’s Export Council and the Walker Art Center.

Mr. Collins was a senior advisor to Oak Hill Capital Partners from 2009 to 2019. In this capacity, he consulted with Oak Hill Capital’s managing partners, providing advice and expertise in a variety of areas, including the private equity portfolio. Mr. Collins and Sophia Shaw, retired president & CEO of the Chicago Botanic Garden, in 2016 formed Acorn Advisors, LLC, a consulting firm focusing on governance, strategic planning, and succession planning for nonprofit organizations, large family offices, and early-stage companies. In addition to his business and civic endeavors, Mr. Collins has authored The Adventures of Archibald and Jockabeb, a nine-book series of adventure/fantasy stories for children and young adults.

Mr. Collins received a Bachelor of Science degree and a Doctor of Laws honorary degree from Miami University in Oxford, Ohio. He also holds a Master of Business Administration Degree from the Wharton School of the University of Pennsylvania, where he was a member of the undergraduate faculty and later received the Joseph Wharton Lifetime Achievement Award.

James Shim

Board Member

James Shim is co-managing partner of Riva Ridge Capital Management, a New York based alternative asset manager focusing on investment opportunities primarily in small to medium size companies. Prior to co-founding the firm in 2003, Jim spent twelve years at Goldman Sachs working in different areas including fixed income capital markets, equity capital markets, mergers and acquisitions, proprietary trading and most recently as managing director, co-head of the Special Situations Investing Group.

Jim attended Stanford University where he earned a bachelor’s degree in quantitative economics and human biology.

Dr. Raphael “Raffi” Amit

Advisor
Dr. Raffi Amit is the Robert B. Goergen Professor of Entrepreneurship and a Professor of Management at the Wharton School. Dr. Amit is the Academic Director of the Goergen Entrepreneurial Management Programs which encompasses all of Wharton’s entrepreneurial programs. He co-founded and leads the Wharton Global Family Alliance (WGFA), a unique academic-family business partnership established to enhance the marketplace advantage and the social wealth creation contributions of global families through thought leadership, knowledge transfer and the sharing of ideas and best practices among influential global families. Dr. Amit has published extensively his empirical and field research on a broad range of issues that relate to Families and their businesses and is frequently quoted in the press.

Prior to joining the Wharton Faculty, Dr. Amit has been the Peter Wall Distinguished Professor at the Faculty of Commerce and Business Administration, University of British Columbia (UBC), where he was the founding director of the W. Maurice Young Entrepreneurship and Venture Capital Research Center. Between 1983 and 1990, Dr. Amit served on the faculty of the J.L. Kellogg Graduate School of Management at Northwestern University, where he received the J.L. Kellogg Research Professorship and the Richard M. Paget Research Chair in Business Policy.

Dr. Amit holds B.A. and M.A. degrees in Economics, and received his Ph.D. in Managerial Economics and Decision Sciences from Northwestern University’s J.L. Kellogg Graduate School of Management.

Dr. Amit serves on the editorial board of Wharton Publishing. He completed a three year term as an Associate Editor of Management Science; a seven year term on the Editorial Board of the European Management Journal; a nine year term on the Editorial Board of Organizational Science; a 12 year term on the Editorial Board of the Journal of Business Venturing; and a 15 year term on the editorial board of the Strategic Management Journal. His research and teaching interests center on performance implications of family owned, controlled, or managed firms, entrepreneurship in independent and corporate settings, business models and business strategy and on venture capital and private equity investments. Among the journals that have published his extensive academic research are the Academy of Management Journal, California Management Review, the Journal of Economic Behavior and Organization, the Journal of Financial Economics, the Journal of Business Venturing, the Journal of Economics and Management Strategy, the Journal of Management, Management Science, Operations Research, the Strategic Management Journal, the European Journal of Management, and a range of trade publications.

Dr. Amit has extensive industry and consulting experience. He consults to substantial families throughout the world on strategy, governance and wealth management issues. He has held a range of management and Board of Directors positions in entrepreneurial settings and participated in the formation and growth of numerous companies.

He served as Chair of the Board of Directors of Creo Products Inc., (NASDAQ symbol CREO until May 2005 when it was acquired by Kodak.), between January 1996 and February 2001, and served on the Audit and Compensation Committees. Creo is a global high technology firm, with unique imaging technology, that is the world’s leading supplier of computer to plate imaging equipment for the printing industry. Dr. Amit has been an active early stage Venture Capital investor and has also consulted to private and public sector organizations in North America and Europe on a broad range of strategic issues, and on entrepreneurial management and new venture formation issues. Professor Amit has helped form the Korean Global IT Fund, a $100 million VC fund with offices in Palo Alto and Seoul and has served as the first Chairman of the KGIF Advisory Board. He now serves on the Board of Directors of Alvarion Ltd. (NASDAQ: ALVR), a leading wireless communication equipment company. Dr. Amit is a member of the Compensation, Nominating and Governance Committee of Alvarion Ltd. He also serves on the Audit Committee, where he is the designated financial expert and provides advice to management on a range of strategic issues.

Dr. Amit has extensive experience in executive education having taught a range of courses in North America, Europe, Asia and Australia.

Lee R. Raymond

Advisor

Lee Raymond was Chairman of the Board and Chief Executive Officer of ExxonMobil from 1999 until his retirement in December 2005. Prior to his tenure at ExxonMobil, Raymond was Chairman of the Board and Chief Executive Officer of Exxon Corporation from 1993 until its merger with Mobil Oil Corporation in 1999, having begun his career in 1963 with Exxon.

Raymond graduated from the University of Wisconsin in 1960 and received a Ph.D. from the University of Minnesota in 1963. He is a director of the Business Council for International Understanding, a director of JP Morgan Chase & Co., a Trustee of the Wisconsin Alumni Research Foundation, a Trustee of the Mayo Clinic, a member of the Innovations in Medicine Leadership Council of UT Southwestern Medical Center, a member of the National Academy of Engineering and a member and past Chairman of the National Petroleum Council. Raymond also serves on an advisory panel to Kohlberg Kravis Roberts & Co.

Frances F. Townsend

Advisor

Frances Townsend is the Senior Vice President of Worldwide Government, Legal and Business Affairs at MacAndrews and Forbes Holdings, Inc. Townsend was a corporate partner at the law firm of Baker Botts, LLP. Previously, she served as Assistant to President George W. Bush for Homeland Security and Counterterrorism and chaired the Homeland Security Council from May 2004 until January 2008. She previously served as Deputy Assistant to the President and Deputy National Security Advisor for Combating Terrorism from May 2003 to May 2004. Townsend is an on-air contributor for CNN as a counterterrorism, national and homeland security expert.

Prior to serving the President, she was the first Assistant Commandant for Intelligence for the U. S. Coast Guard. Before that, Townsend spent 13 years at the U.S. Department of Justice under the administrations of President George H. W. Bush, President Bill Clinton, and President George W. Bush.

Townsend is a Director and chairs the compensation committees of two private company Boards and serves as Director of a public company. She serves on numerous government advisory and nonprofit boards. Townsend chairs the Board of the Intelligence and National Security Alliance. She is also a member of the Council on Foreign Relations and the Trilateral Commission.

The Honorable Lawrence J. “Larry” Delaney, PH.D.

The Honorable Lawrence J. “Larry” Delaney is a senior executive specializing in space and missile systems, information systems, propulsion systems and environmental technology. Dr. Delaney has more than 50 years of international experience in research and development, high technology system development, program acquisition, management, and engineering.

Dr. Delaney retired in 2005 as Vice President, Special Programs from L-3 Communications (formerly Titan Corporation). He previously served as Executive Vice President of Operations and President/CEO of the Advance Systems Development Sector of Titan. Dr. Delaney was Chairman of the Board, CEO, and President of Arete Associates from 2001-2003. He was Assistant Secretary of the Air Force (Acquisition), a presidential appointment position requiring Senate confirmation, and Chief Information Officer from May 1999 – January 2001. Dr. Delaney held the position of Acting Secretary of the Air Force from January 20 – June 1, 2001.

Previously, Dr. Delaney was President of Delaney Group, Inc., a technical business consulting firm. He also was Corporate Vice President of BDM International and Managing Director of BDM Europe, the European holding company for BDM International, Inc. He also served as Senior Vice President and Group Manager at IABG. He was group Senior Vice President at SAIC and Deputy Sector Manager of the SAIC Military Sciences/Information Systems Sector. Dr. Delaney has directed programs for the Chief of Naval Operations, the Defense Nuclear Agency and the U. S. Army.

Earlier in his career, he was Managing Partner and Board Director of Montgomery & Associates and Founder of its Washington operations. Dr. Delaney has served as Chairman of Engility Corporation, Schafer Corporation, the National Academies (NAS) Air Force Studies Board and the NAS Special Operations Command (SOCOM) study on Universal RF Systems. He was Vice Chairman of the Army Science Board and a member of the Defense Science Board Task Force on Integrating Commercial Systems (ICS) and Advisor for Zephyr Photonics, Inc. Dr. Delaney received the Outstanding Civilian Service Medal for his work on the Army Science Board and awarded the Secretary of Defense Medal for Outstanding Public Service and the Department of Air Force Decoration for Exceptional Civilian Service.

He serves as Chairman of the Board of Trustees for Clarkson University where he received his Bachelor’s and Master’s degree in chemical engineering. Dr. Delaney received his Ph.D. in chemical engineering from the University of Pennsylvania.
